End User License Agreement

IMPORTANT: READ CAREFULLY BEFORE INSTALLING OR USING CLIPMAP. BY INSTALLING OR USING CLIPMAP, YOU AGREE TO THE TERMS OF THIS AGREEMENT.

1. Grant of license

Subject to the terms of this Agreement, we grant you a non-exclusive, non-transferable, perpetual license to install and use ClipMap on computers you own or control.

Free tier: You may install and use the free tier of ClipMap on an unlimited number of computers for personal or commercial use.

Professional tier: Your paid license permits installation on up to three (3) computers simultaneously. You may deactivate a computer and activate ClipMap on a different machine at any time.

2. License activation

Professional licenses require online activation. An internet connection is required for the initial activation and periodic re-validation (at most every 14 days). Once validated, ClipMap operates fully offline for up to 14 days before re-validation is required.

3. Restrictions

You may not:

  • Copy or distribute ClipMap except as expressly permitted herein
  • Rent, lease, lend, or sublicense ClipMap to any third party
  • Reverse engineer, decompile, or disassemble ClipMap, except as permitted by applicable law
  • Circumvent or disable any license protection or activation mechanism
  • Use ClipMap for any unlawful purpose
  • Transfer your license to another person without our written consent

4. Intellectual property

ClipMap, including all software, code, user interface designs, and documentation, is protected by intellectual property laws. All rights not expressly granted in this Agreement are reserved by us.

ClipMap is an independent product. Pro Tools® is a registered trademark of Avid Technology, Inc. ClipMap is not affiliated with, endorsed by, or sponsored by Avid Technology.

5. Updates

Professional license holders are entitled to all future updates to ClipMap at no additional charge. Updates may be provided through automatic update mechanisms or manual download from this website. We reserve the right to discontinue development or support for ClipMap at our discretion, with reasonable notice where possible.

6. Disclaimer of warranties

CLIPMAP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CLIPMAP WILL BE ERROR-FREE OR THAT ALL .PTX FORMATS WILL BE CORRECTLY PARSED.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF CLIPMAP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE.

8. Termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination, you must cease all use of ClipMap and destroy all copies in your possession. Sections 4, 6, 7, and 8 survive termination.

9. Governing law

This Agreement is governed by applicable law. Any disputes shall be resolved in the courts of competent jurisdiction. If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force.
